By purchasing services, accessing onboarding systems, submitting forms, uploading documents, communicating with Brightincorp, or otherwise using the website, you acknowledge that you have read, understood, and agreed to these Terms.

Brightincorp is designed primarily for international founders, entrepreneurs, startups, holding companies, consultants, operational businesses, and organizations seeking assistance with U.S. operational infrastructure and market-entry readiness. The platform is intended for lawful business activity only.

Welcome to Brightincorp, a business infrastructure and operational support platform operated by Bright Elementz LLC. By accessing this website, purchasing services, submitting onboarding information, or engaging with Brightincorp, you agree to these Terms of Service. If you do not agree to these Terms, do not use the website or services.

Brightincorp is not a law firm, accounting firm, investment advisor, bank, payment processor, immigration firm, or regulated financial institution.

Brightincorp does not provide:

  • legal advice
  • tax advice
  • accounting advice
  • investment advice
  • immigration advice
  • banking guarantees
  • payment processor guarantees
  • regulatory approvals

Where necessary, Brightincorp may coordinate with or introduce third-party professional providers such as attorneys, accountants, CPAs, trademark professionals, or other operational service providers. Any engagement with third-party providers is subject to their own terms, pricing, licensing, and professional obligations.

4. Service Scope

Brightincorp provides operational coordination and infrastructure assistance services. Service scope may vary depending on package level, onboarding complexity, jurisdiction, operational requirements, third-party provider involvement, compliance considerations, business activity, and infrastructure needs.

Brightincorp packages are structured around operational readiness and may include a combination of onboarding support, coordination services, infrastructure setup, operational guidance, recurring support periods, and third-party coordination. Certain services may require additional operational review before execution.

Brightincorp reserves the right to decline services where operational, compliance, reputational, sanctions-related, or regulatory concerns arise.

Operational infrastructure services may include:

  • company formation coordination
  • EIN coordination support
  • operational onboarding
  • business infrastructure setup
  • mailing address coordination
  • virtual phone setup
  • operational landing page setup
  • investor readiness support
  • onboarding guidance
  • support coordination
  • operational infrastructure assistance

Specific deliverables vary depending on package level and operational requirements.

5. No Guarantees

Brightincorp provides operational coordination, infrastructure assistance, onboarding guidance, and business support services. Brightincorp does not control third-party institutions, government agencies, payment processors, banks, regulators, investors, or infrastructure providers.

Accordingly, Brightincorp does not guarantee:

  • business success
  • investor funding
  • bank account approval
  • payment processor approval
  • Stripe approval
  • PayPal approval
  • fintech onboarding approval
  • trademark approval
  • regulatory approval
  • tax treatment
  • immigration outcome

Operational readiness assistance and onboarding support do not constitute guarantees of acceptance by any third-party institution.

6. Client Responsibilities

Clients are responsible for:

  • providing accurate information
  • maintaining compliance with applicable laws
  • responding to onboarding requests
  • supplying required documents
  • ensuring lawful business activity
  • complying with banking and payment processor rules
  • maintaining tax and accounting obligations

Brightincorp may suspend or terminate services where:

  • false information is provided
  • unlawful activity is suspected
  • sanctions concerns arise
  • abuse or harassment occurs
  • payment disputes arise
  • compliance concerns exist

7. Payments

Payments are processed securely through third-party payment providers including Stripe and related payment infrastructure. By completing payment, clients authorize Brightincorp and its payment providers to process charges associated with the selected services. Clients are responsible for ensuring that payment information is accurate and authorized.

Fraudulent transactions, unauthorized payment attempts, or payment abuse may result in immediate suspension or termination of services.

Pricing displayed on the website reflects the operational scope described at the time of purchase. Certain services may require additional operational review after payment if the onboarding process reveals materially different operational requirements than originally represented.

Brightincorp reserves the right to:

  • request additional documentation
  • pause onboarding
  • request additional compliance information
  • decline services after review
  • issue partial refunds where appropriate
  • refuse continuation where legal or operational concerns arise

Government fees, filing fees, legal fees, accounting fees, trademark filing fees, third-party software fees, and provider-specific costs outside package scope may be charged separately.

8. Refund Policy

Because Brightincorp services frequently involve immediate onboarding activity, operational coordination, infrastructure preparation, compliance review, and third-party expenses, refund eligibility depends on the stage of operational delivery. Refunds are not automatically guaranteed.

Refund requests are reviewed individually based on operational progress, incurred costs, third-party commitments, and infrastructure work completed.

Non-refundable items may include:

  • government filing fees
  • registered agent fees
  • third-party provider costs
  • domain purchases
  • hosting costs
  • phone infrastructure setup
  • address setup costs
  • completed onboarding work
  • completed strategic work
  • submitted filings

Once operational work, filings, onboarding, or infrastructure setup has materially begun, refunds may be reduced or unavailable. Custom advisory, strategic support, and professional-provider coordination services are generally non-refundable once initiated.

Chargebacks initiated after operational work begins may result in suspension of services and additional review.

9. Intellectual Property

All website content, branding, operational materials, graphics, text, and platform elements belong to Bright Elementz LLC unless otherwise stated. Clients retain ownership of their own business information, uploaded materials, and company-specific content.

10. Website & Infrastructure Services

Where website, domain, hosting, or digital infrastructure assistance is provided:

  • third-party providers may control hosting environments
  • ongoing maintenance may require separate agreements
  • domain ownership may depend on registration setup
  • clients remain responsible for lawful website usage

11. Third-Party Providers

Brightincorp may coordinate with:

  • banks

  • payment processors
  • accountants
  • trademark professionals
  • software providers
  • infrastructure vendors

Brightincorp is not responsible for:

  • third-party downtime
  • approval decisions
  • pricing changes
  • operational interruptions
  • third-party policies
  • external service failures

12. Privacy

Use of the website and services is also governed by the Privacy Policy.

13. Limitation of Liability

Brightincorp services involve operational coordination, infrastructure assistance, onboarding support, and third-party provider interaction. Clients acknowledge that business operations inherently involve risk, including regulatory risk, banking risk, payment-processing risk, infrastructure risk, investor risk, tax risk, and operational risk.

To the maximum extent permitted by law, Bright Elementz LLC and Brightincorp shall not be liable for:

  • indirect damages
  • lost profits
  • business interruption
  • regulatory decisions
  • banking decisions
  • payment processor actions
  • investor outcomes
  • operational losses
  • consequential damages

Maximum liability shall not exceed the amount paid by the client for the applicable service.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States. Any disputes shall be resolved in courts located in Delaware unless otherwise agreed.
