The folder structure and document set an early-stage investor expects to see when diligence begins.
01 · Corporate
- Formation documents and all amendments.
- EIN confirmation letter.
- Bylaws or operating agreement, executed.
- Cap table — current, with option pool detail.
- Board consents and minutes.
02 · Financial
- Historical financials — P&L, balance sheet, cash flow — monthly for the last 24 months.
- Financial model — three-year projection with clear assumptions.
- Bank statements for the last 12 months.
- Tax filings — federal and state.
03 · Commercial
- Customer contracts, redacted where required.
- Pipeline summary with stage and conversion assumptions.
- Key vendor contracts.
- IP assignment agreements for all founders and contributors.
04 · Compliance
- State registrations for each jurisdiction of operation.
- Payroll and contractor documentation.
- Privacy policy, terms of service, and data-handling posture.
- Insurance policies in force.
